Terms of Service

1. Scope

These Terms of Service govern all agreements between Quinta Digital GmbH, operator of socilyze.tools (hereinafter "Provider"), and the user regarding use of the platform. socilyze.tools is a web-based SaaS tool for tracking and analyzing social media KPIs. Any conflicting terms of the user do not apply. The agreement is formed upon registration and activation of the user's account.

2. Services

The Provider makes the platform available and enables users to retrieve, analyze, and visualize social media metrics from connected channels. The exact feature set depends on the plan selected by the user.

Data quality depends on the APIs of the respective social media platforms. The Provider does not guarantee completeness or accuracy of this data. The Provider aims for high availability but does not guarantee uninterrupted service.

3. Payment and Cancellation

Use of the platform is subject to a fee. All prices are net prices plus applicable VAT. Payment is due in advance based on the selected billing cycle (monthly or annual). If payment is overdue by more than 10 days, access may be suspended.

The agreement is open-ended and may be terminated in text form. For monthly billing, cancellation takes effect at the end of the current month. For annual billing, cancellation requires 30 days notice before the end of the contract year. The right to terminate for cause remains unaffected.

4. Use and Obligations

The user receives a simple, non-transferable right to use the platform for the duration of the agreement. Login credentials must not be shared. The platform may not be used for illegal purposes, scraping, or actions that impair the infrastructure. In case of violations, the Provider may suspend access or terminate the agreement without notice.

5. Liability

The Provider is fully liable for intent, gross negligence, and damages to life, body, or health. For minor negligence, liability is limited to breaches of material contractual obligations and only covers foreseeable damages. Liability for lost profits or damages caused by incorrect data from third parties is excluded.

6. Privacy and General Provisions

Personal data is processed in accordance with the GDPR and the separate privacy policy at socilyze.tools/privacy. These Terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods. For business users, the place of jurisdiction is the Provider's registered office. If any provision of these Terms is invalid, the remaining provisions remain in full force.
